MEMBERSHIP AGREEMENT, POLICIES & TERMS

1. AGREEMENT TO TERMS

The undersigned (“Member,” “Participant,” or “Guest”) desires to access VIP Fit Club and agrees to be bound by all terms, policies, rules, waivers, and conditions contained in this Agreement.

This Agreement applies to all individuals accessing VIP Fit Club premises, including active members, non-members, guests, drop-in visitors, and sauna-only participants.


2. MEMBERSHIP ELIGIBILITY

All members must be 18 years of age or older.

No minors are permitted in the facility at any time.

Membership is non-transferable.


3. MEMBERSHIP TERM & CANCELLATION

Memberships are month-to-month unless otherwise stated in writing.

Memberships automatically renew each billing cycle.

A thirty (30) day written notice is required to cancel.

Failure to cancel properly will result in continued billing.

All payments are non-refundable.

Cancellation notice must be submitted via:

Certified mail

Hand delivery

4. MEMBERSHIP STRUCTURE

Memberships may be offered as:

Month-to-month memberships

Term memberships

Paid-in-full packages

Add-on services

All payments are due in advance.


5. PAYMENT AUTHORIZATION

By enrolling, the Member authorizes VIP Fit Club to charge the payment method on file, including credit card, debit card, or electronic fund transfer (EFT/ACH), for all applicable fees.

This includes authorization for recurring and one-time charges, including but not limited to:

Membership dues

Service and program fees

Key fob fees

Add-on services

Late fees

Replacement fees

This authorization remains in effect until membership is properly canceled in accordance with this Agreement.

If a payment is declined, returned, or fails:

VIP Fit Club may reattempt the charge

Access may be suspended

Updated payment information may be required

VIP Fit Club is not responsible for interruptions caused by expired cards, insufficient funds, or bank restrictions.


6. CHARGEBACK & PAYMENT DISPUTE POLICY

Member agrees not to initiate a chargeback, reversal, or payment dispute without first contacting VIP Fit Club to resolve the matter in good faith.

If a chargeback or payment dispute is filed:

Membership access may be immediately suspended.

The Member remains responsible for all valid charges under this Agreement.

The Member agrees to reimburse VIP Fit Club for any chargeback fees, administrative costs, or collection expenses incurred.

Filing a chargeback for a valid, contractually authorized charge constitutes a breach of this Agreement.

VIP Fit Club reserves the right to pursue collection remedies for unpaid balances.


7. NO REFUND POLICY

All payments are non-refundable, including:

Membership fees

Service fees

Key fob fees

Sauna fees

Drop-in fees


8. FACILITY ACCESS & ENTRY

8(a) Mobile Access & Entry System

VIP Fit Club uses Avigilon / Openpath for secure 24/7 mobile access.

Available on iOS and Android

No additional cost

App download and activation required

Bluetooth and Location Services must remain enabled

Access appears only when physically near the entrance

VIP Fit Club is not responsible for access issues caused by device settings, updates, or disabled permissions.


8(b) Key Fob Service Fee (Optional)

Members choosing a key fob agree to a one-time $10 fee, billed automatically.

Lost or damaged fobs may incur replacement fees.

Mobile access remains the primary method of entry.

Failure to return a key fob upon cancellation may result in continued billing.


9. STAFFLESS FACILITY NOTICE

VIP Fit Club operates as a self-service facility. Staff may not be present at all times.

Members train at their own risk and are responsible for contacting emergency services (911) if needed.


10. SECURITY & UNAUTHORIZED ACCESS

No door-holding or tailgating permitted.

Access credentials may not be shared.

Violations may result in immediate termination without refund.


11. LATE PAYMENTS

Payments more than ten (10) days late may incur a fee of:

10% of the balance due, OR

$20, whichever is greater.


12. PROMOTIONS & DISCOUNTS

Promotional pricing applies only for the specified term. Upon expiration, membership renews at standard rates unless otherwise stated in writing.


13. SAUNA USE & DROP-IN ACCESS

Sauna participants, drop-ins, and non-members must comply with this Agreement.

All participation is voluntary and at the individual’s own risk.

VIP Fit Club reserves the right to deny access for policy violations.


14. ASSUMPTION OF RISK

Member acknowledges that exercise and sauna use involve inherent risks including serious injury or death.

Member voluntarily assumes all risks.


15. RELEASE & INDEMNIFICATION

Member releases and agrees to indemnify VIP Fit Club, Amor Enterprises LLC, and affiliated parties from all claims arising from participation or presence on the premises.


16. FACILITY RULES

Members must:

Wear clean indoor shoes

Use headphones for personal audio

Wipe equipment after use

Refrain from drugs, alcohol, vaping

Avoid unauthorized coaching or filming

Rules may be updated at any time.


17. 24/7 ACCESS TERMS

Members agree to:

Scan in every visit

Never share access

Maintain updated payment information

Access may be revoked without refund for violations.


18. SUSPENSION & TERMINATION

VIP Fit Club may suspend or terminate membership for:

Non-payment

Rule violations

Unsafe conduct

Chargeback disputes

Termination may occur without refund.


19. MEMBER RESPONSIBILITY

Members are responsible for:

Accurate contact information

All charges incurred

Compliance with all policies


20. POLICY UPDATES

VIP Fit Club reserves the right to update policies, pricing, and procedures. Continued use constitutes acceptance.


21. ACCEPTANCE & ELECTRONIC SIGNATURE

By signing electronically, Member certifies that they:

Have read and understood this Agreement

Agree to all terms

Accept full responsibility for participation

Electronic signatures are legally binding.
